甲、乙雙方經(jīng)過友好協(xié)商，本著平等互利、友好合作的意愿達(dá)成本協(xié)議書，并鄭重聲明共同遵守：

一、雙方本著平等互利、誠(chéng)實(shí)信用的原則，經(jīng)友好協(xié)商簽訂本協(xié)議。

二、甲方同意按照本協(xié)議的規(guī)定,授權(quán)乙方為其在加拿大進(jìn)行商業(yè)咨詢及市場(chǎng)拓展服務(wù)。

三、乙方提供的咨詢服務(wù)范圍僅限如下：

      1.為甲方提供商業(yè)咨詢及市場(chǎng)拓展服務(wù)。

四、甲方的責(zé)任范圍：

積極協(xié)助乙方提供本公司相關(guān)信息，不得為乙方提供虛假、不實(shí)或違反國(guó)家法律法規(guī)的信息。

五、費(fèi)用的支付

    1.本協(xié)議書所涉及的費(fèi)用的貨幣單位均為人民幣。

    2.本協(xié)議總費(fèi)用為：7萬元整。

    3.本協(xié)議一經(jīng)簽定，甲方需向乙方支付咨詢費(fèi)用，乙方為甲方開具收據(jù)；在成功通過初審后，乙方為甲方開具正式發(fā)票。

六、乙方發(fā)生的通訊、交通等費(fèi)用由乙方承擔(dān)。甲方發(fā)生的通訊、交通以及向有關(guān)部門交納的費(fèi)用由甲方承擔(dān)。

七、若由于乙方原因造成咨詢失敗，乙方向甲方退還甲方交納的全部咨詢費(fèi)用。并退還甲方全部資料。

八、協(xié)議提前解除的約定：

簽訂本協(xié)議后，甲方若提前解除本協(xié)議，甲方應(yīng)付給乙方違約金：__7萬_____元。

九、乙方免責(zé)的約定：

    1.甲方應(yīng)對(duì)提供的材料的真實(shí)性負(fù)全部責(zé)任，如果因?yàn)椴牧喜徽鎸?shí)造成的一切后果，均由甲方承擔(dān)，與乙方無關(guān)。

    2.甲方應(yīng)自覺地嚴(yán)格依法進(jìn)行公司管理。乙方對(duì)于甲方提供的內(nèi)容所涉及之正確性、著作權(quán)歸屬，或是其合法性或正當(dāng)性如何，并不負(fù)任何責(zé)任。甲方必須保證對(duì)其提供的影視資源享有版權(quán)及其他合法權(quán)利，并且不會(huì)侵害任何第三方的合法權(quán)益。甲方若散布和傳播反動(dòng)、色情或其他任何違反國(guó)家法律法規(guī)的信息，或進(jìn)行其他任何違法活動(dòng)，乙方不負(fù)任何責(zé)任。甲方通過自身進(jìn)行商務(wù)活動(dòng)所引起的經(jīng)濟(jì)糾紛與乙方無關(guān)。如因甲方違反上述保證引起的任何爭(zhēng)議，甲方應(yīng)負(fù)責(zé)解決。如甲方違反本條款規(guī)定的任何義務(wù)，給乙方造成損失，甲方必須負(fù)責(zé)相應(yīng)的賠償。

十、乙方和甲方在執(zhí)行協(xié)議中發(fā)生的一切爭(zhēng)執(zhí)應(yīng)通過雙方友好協(xié)商解決。

十一、由于人力不可抗拒因素，如火災(zāi)，水災(zāi)，地震，雷擊等自然災(zāi)害或者罷工、戰(zhàn)爭(zhēng)、政府強(qiáng)制措施、政府政策變更等原因而影響本協(xié)議的執(zhí)行，雙方不負(fù)違約責(zé)任，根據(jù)事故影響的時(shí)間可將協(xié)議履行時(shí)間相應(yīng)延長(zhǎng)。若因不可抗拒因素造成咨詢服務(wù)失敗，乙方將扣除甲方咨詢服務(wù)費(fèi)用的10%作為手續(xù)費(fèi)。

十二、協(xié)議的生效及其它：

    1.本協(xié)議簽字蓋章和授權(quán)代表簽字后即時(shí)生效。協(xié)議正本一式兩份，甲乙雙方各執(zhí)一份，具有同等效力。

    2.本協(xié)議有效期為一年。

    　3.本協(xié)議未盡事宜由甲乙雙方另行協(xié)商。

2. Party A agreed to authorize Party B to provide its business consulting and marketing services according to the provisions of this Agreement in Canada.

3. The consulting services provided by Party B are limited to the following:

11. Due to force majeure such as fire, flood, earthquake, lightning or other natural disasters, strikes, war, governmental enforcement measures, changes in government policies and other factors affecting the implementation of this agreement, both parties will not assume any liability for breach, under the effects of the accident, the time for contact performance will be extended by agreement. If the consulting services fail as a result of irresistible factors, Party B will deduct 10% of the consulting cost as service charge.

12. Commencement and other terms:

  (1) The agreement  will take effect immediately after signing and sealing of both parties’ authorized representatives. Agreement in duplicate originals, each party holds one, with the same effect.

   (2) This agreement is valid for one year.

   　(3) Other matters not covered in this Agreement will be negotiated by both parties.
